Management of China Securitization Forum Members

Chapter I: Overview


Article 1: These Regulations for the Management of China Securitization Forum Members (hereafter “Regulations”) are formulated in order to manage day-to-day member affairs and defend the legal rights and interests of members in accordance with the Articles of Association of the China Securitization Forum.


Article 2: Members shall enjoy the rights and undertake the duties set forth in the Articles of Association of the China Securitization Forum.


Article 3: These Regulations shall apply to the members of the China Securitization Forum (hereafter “the Forum”).


Article 4: The Member Administration Committee shall manage the admission, removal, commendation, and punishment of members, and the Secretariat shall manage day-to-day membership affairs.


Chapter II: Members


Article 5: The Forum is composed of members, and members shall be classified into different categories.


Member classifications shall include institutional members, individual members, and other classifications as determined by the Forum Board of Directors.


Article 6: Institutional Members


Both domestic and overseas companies with ties to the securitization industry may apply to be institutional members of the Forum.


Article 7: Individual Members


Both domestic and overseas individuals with ties to or interest in the securitization industry may apply to be individual members of the Forum.


Article 8: The Forum shall set up a system to communicate with members, and members shall submit the name of their contact person to the records of the Secretariat. If the relationship between the member and the contact person is altered, the Secretariat must be notified in a timely manner.


Article 9: Members and any other individuals may not, without prior permission from the Board of Directors, conduct activities or offer opinions on behalf of the Forum. In the event of any violation of this article, the offending party and its relevant personnel shall bear all legal liabilities arising from their actions. The Forum and its other members shall not be held liable.


Chapter III: Membership Requirements


Article 10: Procedure for Admitting Members


1. Submission of documentation. The applicant for membership must submit the following documents to the Secretariat:
a) a completed membership application form;
b) the recommendation of at least one Director of the Forum Board of Directors stating the reasons for his recommendation, documented in a member recommendation form; and
c) any other forms required by the Forum.
2. Payment of membership fee. When submitting the membership application form, applicants for membership shall pay or agree to pay an amount sufficient to cover the membership fee to the Forum or to an institution appointed by the Forum.
3. Membership approval. The applicant’s application shall either:
a) undergo preliminary examination by the Secretariat and Member Administration Committee in accordance with membership requirements and relevant rules stipulated by the Board of Directors and then be submitted to the Board of Directors for approval; or
b) be approved by the Secretariat and Member Administration Committee in accordance with membership requirements and relevant rules stipulated by the Board of Directors. The Secretariat and Member Administration Committee shall then report to the Board of Directors.
4. Provision of membership certificate and Forum website password. After the Forum examines the applicant’s application and determines that the applicant will be accepted as a member of the Forum, the Secretariat shall provide the member with a membership certificate (in electronic format) and a password with one year of validity to the Forum website.
